In the role of support, the board shall (acting alongside management) raise funds; brings contacts and professionals as law, accounting; and acts as ambassador among stakeholder and in the community.
Under the governance role (of holding management accountable and of protecting public interest), select and assess the performance of the general manager; review and authorize plans, budgets, policies and process, ensure compliance with legal and contaractual requirements; and evaluate Nyamughasana’s management and board perfomance.
The board members shall be required to observe the duty of;
a.Obedience, which forbids acts outside the scope of cooperate powers of Nyamughasana coop. Board members shall comply with national laws and confirm to Nyamughasani coop’s memorandum of understanding articles of association and government of Uganda laws under which Nyamughasana business is transacted.
b. Loyalty, which dedicates that officers and directors shall act in good faith and shall not allow their personal interests to prevail over the interests of Nyamughasana cooperative.
c. Care, which require the board to be diligent and prudent in managing Nyamughasana Coop’s affairs. The individual charges with governing and managing Nyamughasana coop duties shall use such care as a prudent person would use under similar circumstances.
